We retain personal data only for as long as necessary. Enquiry data is retained for 12 months. Client data is retained for 6 years following the end of engagement in line with UK commercial law requirements. You may request deletion at any time, subject to legal retention obligations.

We do not sell, rent or trade your personal data to third parties. We may share data with trusted sub-processors (e.g. cloud hosting providers) under appropriate data processing agreements. All processors are selected to ensure equivalent data protection standards.

1. Introduction
These Terms and Conditions govern the provision of research and consultancy services by BAM Solutions ("the Company") to clients ("the Client"). By engaging our services, you agree to these terms. For bespoke project work, a separate Statement of Work (SoW) or Master Services Agreement (MSA) will supersede these general terms where they conflict.
2. Services
BAM Solutions provides Industry 4.0 research and consultancy services including, but not limited to, IoT system design, AI/ML development, edge computing deployment, discrete event simulation, mathematical modelling, data analytics, data dashboarding and strategic advisory services. The exact scope of services for each engagement shall be agreed in writing prior to commencement.
3. Intellectual Property
Unless otherwise agreed in writing: (a) all pre-existing intellectual property of BAM Solutions (including methodologies, frameworks, tools, and proprietary software) remains the property of BAM Solutions; (b) deliverables specifically created for the Client as part of a paid engagement will be transferred to the Client upon receipt of full payment; (c) BAM Solutions retains the right to use anonymised and aggregated learnings from any engagement for internal research and development purposes.
4. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during an engagement. This obligation continues for 3 years following the end of the engagement. BAM Solutions will not disclose Client data, systems information, or commercially sensitive details to any third party without written consent.
5. Payment Terms
Fees are agreed in advance for each engagement. Unless otherwise agreed: invoices are payable within 30 days of issue; late payments incur interest at 8% above the Bank of England base rate per annum in accordance with the Late Payment of Commercial Debts Act 1998; expenses (travel, accommodation, third-party software) are charged at cost with prior agreement.
6. Liability
BAM Solutions shall not be liable for any indirect, consequential, or incidental loss arising from the use of our services or deliverables. Our total aggregate liability shall not exceed the total fees paid by the Client for the specific engagement giving rise to the claim. Nothing in these terms limits liability for fraud, death, or personal injury caused by negligence.
7. Warranties
BAM Solutions warrants that services will be performed with reasonable skill and care, and that all personnel have the necessary expertise for the agreed scope. We do not warrant that any simulation, model or analytical output will guarantee specific operational results, as these depend on factors outside our control including quality of client-provided data.
8. Termination
Either party may terminate an engagement by providing 30 days' written notice. The Client shall pay for all work completed and reasonable costs incurred up to the date of termination. BAM Solutions may terminate immediately in the event of material breach or non-payment.
9. Governing Law
These Terms and Conditions are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
